Case Study – UK Agency/Distribution Agreements – Producer X

Producer X is a South American wine producer.  Although it participated in this case study, and has authorised its publication, for commercial confidentiality reasons it prefers to remain anonymous.

Producer X is an established producer, selling all over the world.  It was handling some of its UK business itself, and other parts via two separate distributors.  Having decided to replace one of those distributors, Producer X engaged Andrew Park to help it manage the process, comply with its legal responsibilities and protect its interests.  It also asked Andrew to advise on and draw up an agreement with its new UK agent/distributor that would meet its key objectives: in particular by excluding pre-existing business from the ambit of any possible compensation claim on termination.

With Andrew’s help, Producer X achieved all its objectives with little opposition or difficulty.  Its UK Sales Director comments:
